Terms of Service

By creating an account or using the EstatesAI platform, you agree to these Terms of Service. If you are entering into these terms on behalf of an organisation, you confirm you have authority to do so.

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

EstatesAI provides a cloud-based facilities management intelligence platform. The service includes AI-powered asset enrichment, planned maintenance scheduling, compliance tracking, lifecycle planning, net zero analysis, and labour loading analysis.

We may add, modify, or remove features at any time. We will provide reasonable notice of material changes.

You are responsible for maintaining the confidentiality of your account credentials. You must not share your login details with others — invite them as separate users within your organisation workspace.

You must notify us immediately at security@estatesai.uk if you suspect unauthorised access to your account.

We reserve the right to suspend or terminate accounts that violate these terms or are used for prohibited purposes.

You may use the service only for lawful purposes. You must not:

— Upload data that you do not have the right to process

— Attempt to gain unauthorised access to any part of the service or to other organisations' data

— Use the service to transmit malware, spam, or other harmful content

— Attempt to reverse-engineer, scrape, or extract data from the service beyond the export features we provide

— Resell or sub-license access to the service without our prior written consent

You retain all ownership of the data you upload to EstatesAI. By uploading data, you grant us a limited licence to process it for the purpose of providing the service to you.

We process your data as a data processor under your instructions. Our obligations as data processor are set out in the Data Processing Agreement, which forms part of these terms.

On termination of your subscription, we will provide a data export on request and delete your data within 90 days.

EstatesAI uses artificial intelligence to enrich asset data and generate maintenance schedules, compliance obligations, cost estimates, carbon calculations, and other intelligence outputs.

Important: AI-generated content is provided for planning and operational guidance only. It does not constitute legal, engineering, or professional advice.

You are responsible for verifying AI-generated outputs before relying on them for compliance decisions or financial planning. EstatesAI makes no warranty that AI outputs are accurate, complete, or suitable for any specific purpose.

Critical decisions — particularly those relating to statutory compliance — should always be verified by a qualified professional.

The EstatesAI platform, including its software, designs, algorithms, and documentation, is owned by EstatesAI Ltd and protected by copyright and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works from the platform or its content.

You own all intellectual property rights in the data you upload and the outputs generated from your data.

Subscription fees are set out in your order form or on the pricing page. Fees are billed monthly or annually as selected. All fees are exclusive of VAT, which will be added at the applicable UK rate.

If payment fails, we may suspend access to the service. We will provide reasonable notice before suspension.

Refunds are not provided for partial subscription periods except as required by applicable law.

**Our total liability** to you for any claim arising under or in connection with these terms is limited to the fees paid by you in the 12 months preceding the claim.

**We exclude liability** for: loss of profits, loss of revenue, loss of data, indirect or consequential loss, whether or not we were advised of the possibility of such loss.

**We do not exclude liability** for: death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

Nothing in these terms affects your statutory rights as a consumer (if applicable).

We aim to provide high availability of the service but do not guarantee uninterrupted access. We perform maintenance from time to time and will provide reasonable advance notice of planned downtime.

Support is available via support@estatesai.uk. We aim to respond to support queries within 2 business days.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

We may terminate your account immediately if you breach these terms, fail to pay fees, or use the service for unlawful purposes.

On termination, we will retain your data for 90 days to allow you to request an export, then delete it.

We may update these terms from time to time. We will provide at least 30 days' notice of material changes via email or the platform. Continued use of the service after the effective date constitutes acceptance of the updated terms.
